WHOLESALE COFFEE TERMS & CONDITIONS
Company: Trinity Road (North Carolina)
1. Eligibility & Reseller Requirements
These Terms & Conditions apply to approved wholesale buyers (“Buyers”) who purchase Trinity Road coffee products for resale through online stores, brick-and-mortar retail locations, restaurants, parish gift shops, and similar establishments.
Redistribution to other wholesalers or resellers is prohibited without Seller’s written approval.
2. Order Minimums, Case Packs & Lead Times
Opening order minimum is $400 (after wholesale discount).
Reorder minimum is $200.
Products must be ordered in increments of 5 units per SKU.
Samples do not count toward minimums unless explicitly stated.
Standard fulfillment time is 3–7 business days; rush production is not available.
Buyers may request quotes for expedited shipping; production times remain unchanged.
Orders may be changed or canceled only before entering roasting or production. Custom/private-label orders cannot be canceled once production begins.
3. Pricing, MSRP, MAP & Adjustments
Pricing is wholesale-exclusive and intended only for resale to end customers.
Online resale pricing must not be lower than pricing on Trinity Road’s branded websites.
Seller may establish and update Minimum Advertised Prices (MAP).
Seller may adjust wholesale pricing with reasonable notice.
Pricing is FOB Seller’s facility unless otherwise agreed.
4. Payment Terms & Credit Policies
New accounts must prepay (credit card or ACH).
Approved accounts may receive Net 30 payment terms.
Orders exceeding $2,500 (Net) may require 50% upfront payment based on Buyer’s credit history and Seller discretion.
Late payments may incur 1.5% monthly interest or the maximum allowed by law.
Seller may suspend shipments or modify credit terms if payment issues arise.
5. Shipping, Transfer of Risk & Damaged Goods
Seller typically arranges shipping unless Buyer provides alternate instructions.
Products ship FOB Shipping Point: risk of loss transfers to Buyer once products are in the possession of the carrier.
Shipments are uninsured unless Buyer requests insurance in writing.
Buyer must inspect goods upon delivery and report damage within 5 business days.
Claims must include photographs, lot numbers, roast dates, and any carrier delivery notes.
Remedies include replacement product, account credit, or refund for the damaged portion only, at Seller’s discretion.
If Seller arranged freight, Seller files any carrier claim. If Buyer arranged freight, Buyer is responsible for the claim process.
6. Shortages, Mis-Picks & Quality Issues
Shortages or mis-picks must be reported within 5–7 business days.
Claims must include photos, lot number, roast date, and description.
Remedies include replacement or credit limited to defective items only, not the full order.
Claims cannot be submitted after the product’s Best By date.
7. Returns & Non-Defective Goods
All wholesale sales are final.
Returns are accepted only for Seller error, damage, or manufacturing defect.
Pre-approval is required for any return; Seller may issue a Return Merchandise Authorization (RMA).
8. Shelf Life, Storage & Handling
Coffee must be stored in a cool, dry place away from heat, moisture, and direct sunlight.
Freezing for long-term storage is discouraged and may compromise quality.
Seller assumes no responsibility for quality degradation caused by freezing.
Quality issues due to improper storage or handling after shipment are not covered.
Items removed from original packaging (e.g., café use) are not eligible for quality claims.
No credit is issued for product sold or used past its Best By date.
9. Branding, Trademarks & Online Sales Restrictions
Buyer may use Seller-approved trademarks, images, and descriptions solely for resale purposes.
Resale on Amazon, Walmart.com, eBay, or any third-party marketplace is strictly prohibited.
Use of product photos not supplied by Seller requires prior written approval.
Alteration or misuse of brand assets is prohibited.
10. Taxes & Compliance
Buyer must provide a valid resale certificate to avoid sales tax.
Seller complies with required food labeling regulations.
Buyer is responsible for compliance in advertising, marketing, and usage at their establishment.
11. Limitation of Liability & Warranty
Product is warranted to be fit for ordinary use when stored properly and consumed before the Best By date.
Liability is limited to replacement or credit for defective individual items only.
Seller is not liable for consequential, incidental, or special damages, including lost profits.
12. Force Majeure
Seller is not liable for delays or failure to perform due to events beyond reasonable control, including natural disasters, labor disruptions, transportation failures, or supply chain interruptions.
13. Governing Law, Arbitration & Miscellaneous
These Terms are governed by the laws of the State of North Carolina.
All disputes must be resolved through binding arbitration under AAA Consumer Arbitration Rules.
Buyer may not assign this agreement without Seller’s written consent.
If any provision is deemed invalid, remaining provisions remain enforceable.
e. These Terms constitute the entire agreement and may be amended only in writing.
By placing a wholesale order, Buyer agrees to these Terms & Conditions.
